General Terms and Conditions

1. Scope of application. These General Terms and Conditions (“GTC”) apply to all business relationships between QUTTING EDGE SWISS GmbH and its customers, in the version valid at the time the contract is concluded, unless QUTTING EDGE SWISS GmbH and the customer have entered into a separate written agreement or a written framework agreement.

The GTC apply exclusively. Any terms and conditions of the customer or contractual partner that conflict with or deviate from these GTC shall not be recognized unless expressly approved in writing by QUTTING EDGE SWISS GmbH in individual cases.

If individual provisions of these GTC are or become invalid due to explicit agreements, the remaining provisions shall remain fully effective.

2. Delivery periods. Delivery periods stated by QUTTING EDGE SWISS GmbH are non-binding unless expressly agreed otherwise in writing. Nevertheless, compliance with delivery periods will be pursued to the extent reasonably possible.

QUTTING EDGE SWISS GmbH reserves the right to make partial deliveries, which shall not result in additional costs for the customer. In the event of delays caused by circumstances beyond the control of QUTTING EDGE SWISS GmbH, the customer shall have no right to withdraw from the contract or to claim damages.

3. Transport and delivery. Delivery shall be made FCA Sursee-LU (Incoterms 2020).

4. Binding nature of offers. Offers issued by QUTTING EDGE SWISS GmbH are valid for 30 days from the date of issuance.

5. Price adjustments. If more than three months elapse between the conclusion of the contract and delivery of the goods, QUTTING EDGE SWISS GmbH expressly reserves the right to adjust prices due to changes in raw material prices, taxes, duties, fees, other charges and currency fluctuations.

6. Payment terms. Online purchases via the webshop are payable immediately during the ordering process using the secure payment systems available in the online store.

Invoices issued by QUTTING EDGE SWISS GmbH to retail customers are payable in full, without deductions, within 14 days from the invoice date, unless expressly agreed otherwise in writing.

In the event of late payment, default conditions shall apply automatically without the need for a reminder. Any attempt by the customer to offset, charge back or assert claims against QUTTING EDGE SWISS GmbH is expressly excluded.

Payment reminders are subject to a fixed fee of CHF 50.00 per reminder.

If there are justified doubts regarding the customer’s solvency — in particular in the case of late payments, inheritance proceedings, voluntary or involuntary liquidation or comparable situations — QUTTING EDGE SWISS GmbH shall be entitled to demand securities, advance payments or cash payments and to declare all outstanding amounts immediately due.

In addition, QUTTING EDGE SWISS GmbH may reclaim goods already delivered and/or withdraw from the contract without any entitlement of the customer to compensation or subsequent delivery.

7. Warranty and liability. QUTTING EDGE SWISS GmbH provides warranty for the goods in accordance with the conditions of the original manufacturer. The customer is entitled to receive goods in perfect condition and is obliged to inspect them immediately upon receipt.

Claims for defective goods must be made immediately and in writing. Otherwise, the goods are deemed approved.
